Tax

Clients choose the Adams and Reese Tax Team because of our broad experience across the tax spectrum and our problem solving abilities. We are known for devising creative and aggressive tax strategies that are acceptable to both the client and the relevant agencies and courts. We enjoy finding win-win solutions that allow our clients to structure transactions in ways that solve their tax and business needs without reducing the benefits to other parties involved.

We also understand the importance of having a solution that not only makes sense and avoids unnecessary taxation, but can be easily communicated to other members of the team or transaction. Whether we’re working on a tax matter in an estate plan, a business plan or a tax controversy, we understand that it’s important for all parties to understand the main tenets of our position. We can take a complex set of interlocking laws and explain the pros and cons of different strategies. Additionally, we continue to keep you updated as tax laws change.

Our Attorneys

Our team includes attorneys with Master of Law in Taxation degrees and attorneys who are fellows of the American College of Trust and Estate Counsel. We bring together years of working on complex tax matters within the private business sector with team members who have experience at senior levels of regional and federal tax administrations. We’re also known for our ability to work as a team with other professionals, including accountants, financial planners and insurers.

Core Practice and Clients

Our team of dedicated tax lawyers serve corporate, business and individual clients in a wide range of federal and state tax issues, including:

Business Tax Transactions: providing federal, state and local tax advice to clients who are forming new businesses or expanding existing ones. We begin by determining the appropriate business entity for each client. In addition, we advise clients on a variety of other tax issues in forming or expanding businesses, such as contributions to capital, stock and debt instruments, financing agreements, buy-sell agreements, securities offerings and compensation and benefit packages.

Acquisitions and Sales: counseling clients about the tax consequences of their proposed business purchase or sale. When we structure taxable or tax-free acquisitions, we focus on your business objectives, the nature of the assets and the business being purchased or sold, as well as any projected future transactions. In larger transactions, we obtain a private letter ruling from the Internal Revenue Service or a state taxing authority. We also render opinions about the federal and state tax consequences of the transaction.

Estate Tax Planning: whether you’re planning for the distant future or structuring a transaction to pass your business to the next generation, we offer a comprehensive tax practice dedicated to providing quality tax advice that is specifically tailored to your objectives.

Tax Controversies: representing clients in disputes with taxing authorities. At the state level, we represent clients before the state revenue departments, other local governmental taxing authorities and the courts. At the federal level, we represent clients administratively before the Internal Revenue Service and in federal circuit court and Federal Tax Court.

Compensation Planning: analyzing and providing qualified and nonqualified deferred compensation plans, welfare and pension benefit plans, fringe benefits and executive compensation strategies. We represent private employers and employees, nonprofit and governmental employers and publicly-traded employers. We work with stock compensation and with partnerships and other forms of employer entities.
